Özet:Anahtar Kelimeler : Yerel Kamu Şirketi, Belediye Şirketi AVRUPA BİRLİĞİ’NDE VE TÜRKİYE’DE BELEDİYE ŞİRKETLERİ: İSTANBUL BÜYÜKŞEHİR BELEDİYESİ ŞİRKETLERİ ÜZERİNE BİR İNCELEME Bu çalışmada Avrupa Birliği’ne üye ülkelerde ve Türkiye’deki belediye şirketleri anlatılmaya çalışılmıştır. Belediyeler, kamu hizmetlerinin temini, sunulması ve uygulanması ile sosyo-ekonomik gelişmede önemli rol oynamaktadırlar. Avrupa Yerel Yönetimler Özerklik Şartı, yerindenlik ilkesi gibi yerel demokrasinin gelişmesine yönelik adımların da etkisiyle yerel hizmet sunumunda ve talebindeki artış, sınırlı kaynaklarla daha fazla hizmet sunma baskısı altındaki belediyeleri alternatif yollar aramaya itmektedir. Belediyeler, ya bütçe içi işletmeler ya da sermayelerine ortak oldukları özel hukuka tabi şirketleri kurarak yerel toplumsal ihtiyaçları daha esnek ve etkin karşılama yoluna gitmektedirler. Belediyelerin, artan yetki ve sorumluluklarına paralel bir şekilde belediye şirketlerinin sayısında da artış görülmektedir. Avrupa Birliği’ne üye ülkelerde belediye şirket türleri, hukuki ve sermaye yapıları ile denetim yolları ülkelere göre farklılıklar göstermektedir. Bununla birlikte, Avrupa Birliği’ne üye ülkelerde ve Türkiye’de belediye şirketlerinin ağırlıklı olarak, sınırlı sorumlu şirket ve anonim şirket şeklinde örgütlendikleri, denetimlerinin ve sermayelerinin belediyelerin elinde olduğu özel hukuka tabi tüzel varlıklar oldukları görülmektedir. Avrupa Birliği’ne üye ülkelerde ve Türkiye’de belediye şirketleri, genellikle belediyelerin görev, yetki ve sorumluluk alanlarında olmak üzere turizm, kentsel kalkınma ve dönüşüm, çevre, enerji, su ve toplu ulaşım gibi sektörlerde faaliyet göstermektedirler. Keywords : Local Public Company, Municipal Company ABSTRACT MUNICIPAL COMPANIES IN EUROPEAN UNION AND TURKEY: A STUDY OF COMPANIES OF ISTANBUL METROPOLITAN MUNICIPALITY The topic of this study has been so-called the municipal companies established by the local authorities in the countries of European Union and Turkey. The local authorities play an important role in socio-economic development by providing and introducing public services. The supply and demand of public services has been under progress upon on the influence of the European Charter of Local Self-Government and the principle of subsidiarity. Under these conditions, the local authorities have been compelled to seek alternatives, since they have to provide more services with limited sources. The local authorities have been trying to meet public services more effectively and flexible by either establishing the municipality corporations within their budgets or, establishing companies under private law, whose stock options are shared by them. An important increase has been seen in municipal companies in line with the increased competencies and responsibilities of local authorities. In the countries of European Union the municipal companies vary in type, legal and capital structure as well as in the ways that they are supervised. It is, however, apparent that the municipality companies are established as limited companies and stock companies and that their supervisions and capitals are under the title of the local authorities and they are organized as corporate bodies subject to special law in the countries of European Union and Turkey. The municipal companies are generally engaged in tourism, urban development and transformation, environment, power, water and public transportation within the responsibility, authority and role of the local authorities in the countries of European Union and Turkey.
