Pursuant to Art. 408 of the Turkish Commercial Code (TCC), the election of members of the board of directors constitutes a non-delegable power of the general assembly. Art. 363/I, however, authorizes the board of directors to appoint a temporary member in the event of a vacancy on the board, stipulating that such appointment shall be submitted to the approval of the first general assembly. In this framework, the board of directors temporarily exercises a power that ordinarily belongs to the general assembly, acting in its stead in the purpose of preventing a situation of organ deficiency and, ultimately, the threat of court-ordered termination. The appointment must be submitted to the first general assembly meeting convened thereafter; if approved, the appointed member will complete the remaining term of office of his or her predecessor. According to prevailing opinion, a member appointed through this method -commonly referred to as co-optation- enjoys the same rights and powers as other board members until the general assembly adopts a decision of non-approval. In line with the principle of legal certainty, such a decision is considered to produce effects only ex nunc. Indeed, Art. 363/1 expressly provides that a member appointed through co-optation shall serve until the general assembly meeting at which the appointment is submitted for approval. Nevertheless, uncertainty persists regarding the legal status of the membership in cases where the appointment is never placed on the agenda of the general assembly, or where -despite its inclusion on the agenda or the availability of quorum and voting capacity- no resolution is rendered. This study examines the legal consequences arising from the failure to submit for approval to the general assembly the appointment of a board member selected through co-optation.
