Bonoda düzenleme yeri zorunlu bir unsur (alternatifli) olup bu unsurun eksikliği senedin vasfını etkilemektedir. Buna rağmen düzenleme yerine ilişkin TTK. maddelerinde “düzenlenme yeri”, “senedin düzenlendiği yer”, “düzenleyenin adının yanında yazılı olan yer” ifadeleri kullanılmış, “yer” kavramı ile kastedilen yerin türü belirtilmemiştir. Bu durum hem doktrinde farklı görüşlerin ortaya çıkmasına hem de birbirinden farklı yargı kararlarının verilmesine sebep olmuştur. Uygulamada özellikle bononun düzenlendiği yerin mülki idari birim olmasının zorunluluğu tartışılmıştır. Düzenleme yerinin ne şekilde kısaltılarak yazılabileceği de bir diğer tartışma konusudur. Düzenleme yerinin senet üzerinde nereye yazılması gerektiği konusunda da bir açıklık olmaması, farklı yorumlara sebep olmuştur. Çalışmamızda düzenleme yerinin nasıl anlamlandırıldığı doktrin ve yargı kararları çerçevesinde incelenmiş ve üzerinde tartışma bulunan hususlarda kendi görüşümüz beyan edilmiştir.
The place of issuance in a promissory note is a mandatory element (alternatively), and the absence of this element affects the legal nature of the instrument. Nevertheless, in the relevant articles of the Turkish Commercial Code (TCC), expressions such as “place of issuance”, “place where the instrument is issued”, and “the place written next to the name of the issuer” are used, without specifying the type of location referred to by the term “place.” This has led to differing views in the doctrine as well as inconsistent judicial decisions. In practice, there has been debate especially on whether the place of issuance must be an administrative unit of the state. Another controversial issue is how the place of issuance may be abbreviated. The lack of clarity regarding where on the note the place of issuance should be written has also resulted in varying interpretations. In this study, the meaning and interpretation of the place of issuance is examined within the framework of doctrine and judicial decisions, and our own opinion is presented regarding the debated issues.
