Acentelik Sözleşmelerindeki Haklı Sebeple Fesih Düzenlemelerinin, Acentenin Denkleştirme Talebine Etkisi

Özet

Denkleştirme talebinin şartları, TTK m. 122’de belirlenmiştir. Madde uyarınca denkleştirme talebi şartları:

-       Müvekkilin, acentenin bulduğu yeni müşteriler sayesinde, sözleşme ilişkisinin sona ermesinden sonra da önemli menfaatler elde etmesi,

-       Acente, sözleşme ilişkisinin sona ermesinin sonucu olarak, onun tarafından işletmeye kazandırılmış müşterilerle yapılmış veya kısa bir süre içinde yapılacak olan işler dolayısıyla sözleşme ilişkisi devam etmiş olsaydı elde edeceği ücret isteme hakkını kaybetmesi,

-       Hakkaniyet gerektirmesi

-       Sözleşme ilişkisinin müvekkil tarafından haklı sebeplerle sona erdirilmemiş olması

Olarak karşımıza çıkmaktadır. Denkleştirme talebinde bulunulabilmesi için sayılan şartların kümülatif olarak bir arada bulunması gerektiğinden, şartlardan birinin sağlanamaması dahi talebin ileri sürülmesine engel teşkil etmektedir. Bu kapsamda acentelik sözleşmesinin müvekkil tarafından haklı sebeplerle sona erdirilmesi halinde acentenin denkleştirme isteminde bulunması mümkün olmamaktadır. Bu şartın ise özellikle acentelik sözleşmelerine konulan haklı sebeple fesih halleri karşısındaki konumunun incelenmesi gerekmektedir. Zira sözleşmede yer alan bazı haklı sebeple fesih sebepleri, denkleştirme talebine temel teşkil eden acentecilik faaliyetleriyle ilgisi olmamakta hatta acentelik ilişkisinden tamamen bağımsız olarak da belirlenebilmektedir. Bu itibarla sözleşmenin müvekkil tarafından haklı sebeple feshi durumunda denkleştirme talebinin akıbetinin tartışılması gerekmektedir.

Denkleştirme talebi hukuki niteliği itibariyle bir tazminat olmayıp, bir karşılık niteliğindedir. Acente tarafından yaratılan müşteri çevresi için kendisine verilen, hakkaniyet temelli bir karşılık olarak kabul edilmektedir. Bu itibarla denkleştirme talebi esasen acentenin işletmeye yaptığı katkının karşılığıdır. Kurumun bu niteliği gerek Türk gerek İsviçre ve Alman doktrinde kabul edilmektedir. 

Denkleştirme talebinin, acente tarafından müvekkil sağlanan müşteri çevresinin bir karşılığı olması itibariyle de acentelik sözleşmesinin müvekkil tarafından haklı sebeplerle sona erdirildiği her halde denkleştirme talebinin istenemeyeceği şeklindeki yaklaşım yerinde olmayacaktır. Zira acente tarafından bulunan müşteriler ile müvekkilin işlem yapmaya devam ettiği ve müvekkilin bu sayede ekonomik faydalar sağladığı durumda, acentenin özellikle sözleşme ile belirlenmiş bir takım haklı sebeple fesih hallerinin gerçekleşmesi dolayısıyla denkleştirme talebinden mahrum bırakılması hakkaniyet ile bağdaşmayacaktır. 

Denkleştirme talebinin ortadan kalkmasına neden olabilecek haklı sebeple fesih halleri, müvekkil bakımından denkleştirme talebine konu menfaatleri elde etmesini engelleyebilecek haller ile sınırlandırılmalıdır. Bu kapsamda özellikle acentelik sözleşmelerine müvekkil tarafından konulan haklı sebeple fesih hallerinin gerçekleşmesinin denkleştirme talebinin ileri sürülmesini doğrudan engellemeyeceği kabul edilmelidir. Sözleşme ile belirlenen haklı nedenlerin somut olayın şartlarına göre değerlendirilmesi gerekmekte olup müvekkil tarafından gerçekleştirilen ve sözleşme kapsamındaki haklı sebeplere dayanılan feshin, her durumda acentenin denkleştirme talebi hakkını ortadan kaldırmayacağı sonucuna varılmalıdır.

Conditions of the indemnity request is determined in TCC art. 122 as follows: 

- The client gains significant benefits after the termination of the contractual relationship, due to the new customers found by the agency,

- As a result of the termination of the contractual relationship, the agency loses its right to demand the fee that it would have earned if the contractual relationship had continued due to the work done or to be done with the customers brought into the business by it,

- It requires good faith

- The contractual relationship was not terminated by the client for just cause.

Since the conditions listed must be combined cumulatively in order to be able to make an indemnity request, failure to fulfill one of the conditions constitutes an obstacle to the claim. In this context, if the agency contract is terminated by the client for just cause, it is not possible for the agency to request indemnity. The position of this requirement should be examined, especially in the case of termination for a just cause, which is put into agency contracts. Because some justified reasons for termination in the contract are not related to the agency activities that form the basis of the compensation request, even they can be determined completely independently from the agency relationship. In this respect, in case of termination of the contract by the client for just cause, the fate of the compensation request should be discussed.

Indemnity request is not a compensation due to its legal nature, but a provision. It is regarded as an equitable compensation given to it for the client environment created by the agency. In this respect, the compensation request is essentially the return of the agency's contribution to the business. This quality of the institution is acknowledged in both Turkish, Swiss and German doctrine.

Since the indemnity request is a response to the client environment provided by the agency to the client, the approach stating that this request cannot be put forward in all cases where the agency contract is terminated by the client for just cause is not appropriate. Because, if the client continues to make transactions with the customers found by the agency, it will not be in line with the fairness that it is not possible to request compensation because of the termination of a number of justified reasons determined by the contract.

Justifiable reasons preventing the equalization request should be limited to the situations that may cause the client to adversely affect the client's environment. In this context, it should be accepted that the realization of the termination of the agency contracts by the client for a just cause will not directly prevent the claim of indemnity. The justified reasons determined by the contract should be evaluated according to the conditions of the concrete case, and it should be concluded that the termination by the client based on justified reasons within the scope of the contract will not remove the right of the agency to demand compensation in any case.
