Özet:

Bu çalışmanın konusunu “Türk Hukuku ile Karşılaştırmalı Olarak İngiliz Hukukunda İfa Menfaati Kavramı Merkezinde Yaptırımlar” oluşturmaktadır. Çalışmamızda İngiliz ve Türk sözleşme hukukundaki aynen ifa ve tazminat talepleri, sözleşmesel menfaat kavramı yaklaşımı doğrultusunda mukayese edilmeye çalışılmıştır. Her iki hukuk sisteminin incelenmesi sonucunda, borçlu tarafından taahhüt edilen ifanın yerine getirilmesinden doğan menfaat ile meydana gelen ihlal nedeniyle beklediği menfaate kavuşamayan alacaklının, söz konusu edimin ihtiva ettiği değere ulaşmasını sağlayan bir tazminat yaptırımının uygulandığı durumların birbirinden farklı iki ayrı menfaati hedeflediği kanaatine varılmıştır. Sözleşmenin ihlali durumuna ilişkin menfaat kavramı doğrultusunda gerçekleştirmeye çalıştığımız söz konusu ayrım, her ne kadar öğreti tarafından genel itibariyle kabul edilmese de; söz konusu ayrımın benimsenmesi sözleşmelerin ifasına atfedilen değerin tespitinde de önem arz etmektedir. Bu doğrultuda çalışmamızda benimsenen ifa menfaati kavramının sözleşmenin aynen ifası ve tazminat talebini nasıl şekillendirdiği ve yapılan ayrımın sözleşmesel yükümlülüklerin tasnifi ile olan bağlantısı incelenmeye çalışılmıştır. -------------------- The title of our thesis is “A Comparison of the Performance Interest Notion for Breach of Contract in English Law of Remedies with Turkish Law”. This study examines the distinction of the availability of specific performance with the damages in contract law in English law and Turkish law with an approach of contractual interests. A closer analysis of contract doctrine shows there to be two distinct contractual interests; in receiving performance, and in being compensated for losses caused by non-performance. Receiving compensatory damages for non-performance is not the same as receiving performance. At present, this important difference is not fully appreciated, resulting in a failure to develop a principled approach to the claims that can be made following a breach of contract. Recognition of this distinction forces us to confront the fundamental question of how committed we are to the notion that contracts entail a right to performance. This study aims to determine the accepted notion of how the performance interest may be given effect by a specific performance or a damages award, and what the consequences of this analysis are for our understanding of the nature of contractual obligation.
